Terms of Service

1. Agreement

These Terms are an agreement between you and Morpius, established in Amsterdam, the Netherlands. They cover your use of morpius.com, the Morpius app, its API and developer integrations (the "Service"). If you accept on behalf of an organisation, you confirm you are authorised to bind it.

2. Accounts

You must be at least 16, or the age of digital consent where you live. Keep your account information accurate and your credentials and API keys secret; you are responsible for activity under your account. Organisation admins can invite and remove members, manage workspaces and view workspace content.

3. Using the Service

We grant you a non-exclusive, non-transferable, revocable right to use the Service for your personal or internal business purposes, including work for your clients, during your subscription.

4. Acceptable use

You will not break the law or infringe others' rights; upload malware, probe security or bypass usage limits; reverse engineer, scrape or resell the Service; use the Service or its output to build or train a competing product or AI model; share accounts or API keys outside your organisation; create unlawful, deceptive or harassing content; use output for high-risk decisions without qualified human review; or interfere with other customers. We may remove content or suspend access that breaks these rules.

5. Your content

You own the content you put into Morpius, and as between you and us, you own the output generated for you. You grant us a licence to host, process and display your content only to provide, secure and support the Service for you. We do not use your content to train AI models.

You confirm you have the rights and consents needed for the content you submit. Where your content contains personal data about others, you are the controller and we act as your processor.

6. AI features and output

AI output can be inaccurate or incomplete and may resemble output given to others. Review it before relying on it. AI features run on third-party AI model providers; if you bring your own key, that provider's terms also apply. Changes the Morpius agent proposes to your knowledge graph wait for your approval, and you are responsible for what you approve.

7. Plans, credits and payment

Paid plans are billed in advance through our payment processor and renew automatically until cancelled. Credits are consumed by AI and automated features as shown in the app, have no cash value and cannot be transferred. Price changes are announced at least 30 days ahead and apply from your next renewal. Fees are non-refundable except where the law requires otherwise.

If you are an EU consumer, you have a 14-day right of withdrawal. By asking us to start the Service immediately, you acknowledge you lose that right for services already fully supplied and pay proportionally for use before withdrawal.

8. Connected services

When you connect a third-party tool, you authorise us to exchange data with it on your behalf. Its own terms apply, and we are not responsible for its availability or changes.

9. Beta features

Features marked beta or preview are provided as-is and may change or be removed.

10. Suspension and termination

You can cancel at any time; your plan stays active until the end of the paid period. We may suspend or end access for material breach after notice, or immediately for serious abuse, security risk, non-payment or legal requirement. If we end your access without fault on your part, we refund prepaid fees for the unused period.

11. Our property and feedback

We own the Service, including its software, design, built-in design knowledge and brand. We may use feedback you give us freely.

12. Warranties

We provide the Service with reasonable skill and care. Beyond that, and as far as the law allows, it is provided as is, without guarantees that it will be uninterrupted, error-free or that output will be accurate. Nothing here limits your statutory consumer rights.

13. Liability

Nothing limits liability for intent or gross negligence, death or personal injury, or anything that cannot be limited by law. Otherwise, neither party is liable for indirect or consequential loss, and each party's total liability is capped at the fees you paid in the 12 months before the claim.

14. Changes to these Terms

We give at least 30 days' notice of material changes. If you do not agree, you may cancel before they take effect.

15. Law and disputes

These Terms are governed by Dutch law. Disputes go to the competent court in Amsterdam. Consumers keep the protection of the mandatory laws where they live and may bring claims in their local courts.

16. General

You may not transfer these Terms without our consent. If a term is invalid, the rest remains in force. A dedicated legal contact for Morpius is coming soon and will be listed here.
